Schneider Electric agrees to buy PTC for $22.6 billion in cash, its largest deal
The $205-a-share offer values PTC at about $23.7 billion including debt. It adds PTC's design and lifecycle software to Schneider's Aveva.
ThisisEngineering / UnsplashSchneider Electric agreed on October 5 to buy PTC, the Boston-based maker of product design and lifecycle software, for $205 a share in cash. That is a 42.3% premium to PTC's closing price of $144.03 on October 2.
The offer comes to about $22.6 billion (€20.1 billion) in cash, or about $23.7 billion including PTC's debt. It is Schneider's largest acquisition. Its previous biggest software deal was the 2023 buyout of Aveva, valued at about £9.5 billion.
"Together, we are creating the industry's most complete software & AI powerhouse," said Olivier Blum, Schneider Electric's chief executive.
What Schneider is buying
PTC has more than 30,000 customers. Its products include Creo for 3D design, Windchill for product lifecycle management, Codebeamer for managing software development in physical products, and Mathcad for engineering calculations. Schneider already owns Aveva, whose software runs industrial plants and operations. Together they would cover a product's life from design through to the factory and service.
Schneider is targeting €800 million a year in revenue gains within three years of closing, SiliconANGLE reported, and about €250 million in annual cost savings by the third year.

It is Schneider's third acquisition move this year. It agreed in June to buy Cognite for $3.1 billion, a deal that has not yet closed and will be folded into Aveva. Last month it made a €1.2 billion offer for Bulgarian smart home company Shelly Group.
What PTC customers should expect
Nothing changes for contracts until the deal closes, which is about a year away. After that, the open questions are roadmap and licensing, including whether Schneider bundles PTC tools with Aveva. Neither company has said.
What IT teams should do
- If you use Creo, Windchill or Codebeamer, check when your current agreement renews. A renewal signed before the deal closes is on PTC's current terms.
- Ask your PTC account team whether price protection or multi-year terms are available now.
- If you also run Aveva, start listing where the two product sets overlap in your plants and engineering teams.
